- Introduction
This Merchant Onboarding Terms & Service Agreement (“Agreement”) is a contract between ReserveWell Sdn. Bhd. (1618587-P, 202501017173) for Health & Wellness services, Acomogo Travel Tech Sdn. Bhd. (1522856-U, 202301028933, KPK/LN: 11410) for Tourism, Leisure & Activities, and Daily Group Sdn. Bhd. (1479044-P, 202201033347), along with their respective subsidiaries and affiliates (collectively, “ReserveDaily,” “we,” “us,” or “our”), located at Pavilion Embassy, Menara G Vestor Tower, B-18-06, Level 18, 200 Jalan Ampang, 50450 Kuala Lumpur, Malaysia, and you (“you,” “your,” or “Merchant”), who has registered a Merchant Account with us. This Agreement governs the relationship between ReserveDaily and independent healthcare providers, wellness centers, clinics, practitioners, or other eligible businesses listing services and/or products on the ReserveDaily Platform.
The ReserveDaily Platform includes reservedaily.com, the ReserveDaily App, and any affiliated systems, websites, or channels used to market or facilitate Merchant Products/Services. By applying to join ReserveDaily as a Merchant, registering a Merchant Account, or using the Services, you irrevocably accept and agree to be bound by this Agreement.
We reserve the right to amend this Agreement at any time by providing 21 days’ notice to you via email, postal mail, or by posting a notice on the ReserveDaily website or application. Your continued use of the Services following any updates constitutes your irrevocable acceptance of the revised Agreement. Merchants are solely responsible for periodically reviewing this Agreement to stay informed of any updates. ReserveDaily shall not be liable for any consequences resulting from a Merchant’s failure to review or comply with the most current version of this Agreement.
- Purpose
This Agreement allows ReserveDaily to promote and sell the Merchant’s services and/or products through the ReserveDaily Platform, acting primarily as a payment intermediary and marketing platform to connect Merchants with customers, while providing tools for booking management, payment processing, and analytics.
- Eligibility and Application
3.1 How to Join
- Merchants must apply via the Partner Signup page at reservedaily.com/partner-signup.
- Upon submission, our team will verify your licenses, certifications, and service details before activating your Merchant Account.
3.2 Eligibility Requirements
To be eligible as a Merchant, you must:
- Hold valid professional licenses or certifications for your practice (e.g., healthcare, wellness, or related fields).
- Comply with all applicable healthcare, wellness, and regulatory standards in Malaysia, including requirements from the Ministry of Health (MOH), National Pharmaceutical Regulatory Agency (NPRA), and other relevant authorities (KKM).
- Maintain professional liability insurance, where applicable.
- Operate a legitimate business with proper business registration.
- Agree to undergo license verification, background checks, and service audits.
3.3 Verification Process
- All healthcare and wellness providers undergo license verification, background checks, and service audits before listing on the Platform.
- ReserveDaily reserves the right to request additional documentation or information at any time to verify your credentials and compliance with regulatory standards.
- Interpretation
4.1 Definitions
In this Agreement, the following words will have the meanings assigned to them, except where inconsistent with the context:
- Application: The mobile application operated by ReserveDaily or its affiliates, as amended from time to time, for the provision of Services.
- Card or Payment Scheme: Any card payment systems (e.g., VISA, MasterCard, American Express) or bank payment schemes (e.g., direct banking, direct debit, or bank transfer systems, including FPX, e-wallets, and Buy Now Pay Later (BNPL) options in selected regions).
- Merchant Account: The Merchant’s registered electronic money account(s) with ReserveDaily or a designated bank account.
- Merchant Product/Service: Any product or service offered by the Merchant to customers, which is ordered, purchased, or provided pursuant to a Transaction.
- Merchant Registration Form: The registration form completed and signed by the Merchant for the Services.
- Merchant Price: The price at which the Merchant sells and publishes their products or services.
- ReserveDaily Agent Price: The price ReserveDaily pays for the service booked via the Platform on behalf of the customer.
- ReserveDaily Min. Publish: The minimum price ReserveDaily can publish for the Merchant’s products or services.
- Services: Electronic payment solutions via the internet, booking management, product listing, analytics, and all other products and services offered by ReserveDaily through any means.
- Transaction: Any transaction between the Merchant and a customer using the Services for the purchase of goods and/or services from the Merchant.
- Vital AI: ReserveDaily’s AI-based tool for health analysis and client referrals.
4.2 Headings
Headings are for convenience only and shall not affect the construction or interpretation of this Agreement.
- Term
This Agreement shall remain in effect for a period of one (1) year, commencing on the date provided in the Merchant Registration Form or a separate agreement, unless terminated earlier in accordance with Section 20. Either party may renew the Agreement upon mutual written consent before the expiration date.
- Platform Services and Benefits
6.1 Benefits of Joining ReserveDaily
ReserveDaily provides Merchants with:
- Digital visibility to ASEAN health and wellness audiences.
- AI-based client referrals through Vital AI.
- Integrated payment and booking system.
- E-commerce product listing capabilities.
- Performance insights and promotional campaigns.
- Customer support and dispute resolution assistance.
6.2 Platform Features
ReserveDaily offers:
- Online listing and booking management dashboard.
- Product catalog and inventory management tools.
- Secure payment processing (credit/debit cards, FPX, e-wallets, BNPL).
- Client communication tools (messaging, appointment reminders).
- Order management and shipping coordination.
- Analytics and performance reports.
- Marketing and promotional support.
- Merchant Responsibilities
7.1 Professional Standards
The Merchant shall:
- Hold valid licenses or certifications for their professional practice.
- Ensure the accuracy of information and service descriptions provided to ReserveDaily.
- Conduct treatments and consultations in accordance with professional and regulatory standards (e.g., MOH, NPRA, KKM requirements).
- Obtain informed consent from clients before providing services.
7.2 Service Delivery
The Merchant shall:
- Provide services as described in their Platform listing.
- Maintain high standards of care, safety, and professionalism.
- Honor all confirmed bookings or provide reasonable notice of cancellation.
- Respond promptly to client inquiries and concerns.
- Deliver confirmed services promptly and professionally to customers referred by ReserveDaily.
- Specify any minimum order quantity (MOQ) and special pricing for OEM products, where applicable, including distinct commission structures, as outlined in the Merchant Registration Form or a separate agreement.
7.3 Product Quality and Compliance (If Applicable)
If the Merchant sells products through ReserveDaily, they shall:
- Ensure all products meet applicable safety and quality standards (e.g., NPRA, KKM, MOH, FDA where applicable).
- Provide accurate product descriptions, ingredients, allergen information, storage requirements, dosage instructions, and usage guidelines.
- Maintain proper product certifications, quality control documentation, and Certificates of Analysis (available upon request).
- Ensure products are properly registered or notified with relevant authorities.
- Manage product inventory and stock availability accurately.
- Clearly label expiration dates and batch numbers for traceability.
- Handle all logistics and product delivery responsibilities directly, ensuring timely delivery to customers.
7.4 Compliance and Legal Obligations
The Merchant shall:
- Comply with all applicable laws, regulations, and professional codes of conduct, including the Personal Data Protection Act (PDPA) of Malaysia and HIPAA-like standards for medical and health data.
- Maintain all required licenses, permits, and professional liability insurance.
- Protect client confidentiality and personal data.
- Report any adverse events, complications, or safety concerns related to services or products to ReserveDaily and relevant authorities.
- Cooperate with ReserveDaily, at the Merchant’s cost, to investigate any suspicious, illegal, fraudulent, or improper activity related to Transactions.
- Provide ReserveDaily with requested information about their business for compliance with applicable laws.
- Inform ReserveDaily in writing of any material changes to their business (e.g., business model, goods/services, shop name, website, or payment method) no later than thirty (30) days prior to such changes.
7.5 Accurate Listing Information
The Merchant shall:
- Provide accurate, complete, and up-to-date service and product descriptions, pricing, and availability.
- Update their listing promptly to reflect changes in services, products, pricing, or operating hours.
- Use only authentic images and descriptions of their facilities, services, and products.
7.6 Prohibited Items and Services
The Merchant shall not receive payments for the delivery of restricted items or services, including but not limited to:
- Adult media and/or services, escort or prostitution services.
- Body parts, including organs or other body parts.
- Copyright unlocking devices.
- Drugs and drug paraphernalia.
- Drug test circumvention aids.
- Hacking and cracking materials.
- Illegal goods.
- Offensive goods.
- Weapons, including firearms, ammunition, knives, gun parts, and other armaments.
- Any products or services subject to UN Security Council sanctions.
- Commission and Payment Terms
8.1 Commission Structure
- ReserveDaily charges a commission per Transaction (for both services and products) and may offer an optional subscription for premium marketing features. Details will be shared upon merchant onboarding and specified in the Merchant Registration Form or a separate agreement.
- The commission is calculated as a percentage of the total booking or product sale value (excluding taxes and fees) and is deducted from each completed Transaction.
- For services, ReserveDaily will purchase the Merchant’s services on behalf of customers at the ReserveDaily Agent Price and deduct the agreed commission.
- For upselling or additional services facilitated by ReserveDaily, the commission on the upsold amount will be calculated based on the agreed rate.
8.2 Payment Settlement Timeline
- Standard Payment: Payouts are processed within 14 calendar days after ReserveDaily receives full customer payment, minus applicable transaction fees, taxes, and commissions.
- Urgent Service Fulfillment: For urgent or expedited services, payouts may be processed within 7 calendar days upon receipt of a valid invoice and confirmation of service completion.
- Product Sales: Payouts for product sales are processed within 14 calendar days after successful delivery confirmation and expiration of the return window.
- Payments will be transferred to the Merchant’s designated bank account via electronic funds transfer (EFT).
- The Merchant shall provide a valid invoice for each booking or Transaction made through the ReserveDaily Platform.
8.3 Transaction Fees
- Merchants are responsible for any applicable payment processing fees, bank transfer fees, or taxes associated with Transactions.
- ReserveDaily may vary fees or advise the Merchant of additional fees by posting a notice on the ReserveDaily website or application or by sending a notice via email or postal mail.
- The Merchant authorizes ReserveDaily to deduct applicable taxes, duties, or fees as required by law.
- It is the Merchant’s sole responsibility to determine, report, and remit the correct taxes to the competent tax authority.
8.4 Repeated Client Purchases and Commission Attribution
- First Purchase: ReserveDaily’s standard commission applies to the initial booking or purchase made through the Platform.
- Repeat Purchases: If a client referred by ReserveDaily books additional services or products directly with the Merchant (outside the Platform) within 12 months of their first ReserveDaily booking, ReserveDaily retains the right to a reduced commission on those subsequent bookings.
- Transparency Requirement: The Merchant must report repeat client bookings within the 12-month attribution window to ensure fair commission calculation. ReserveDaily reserves the right to issue an invoice for commissions on direct bookings identified through internal audits or customer disclosures.
- The Merchant shall direct all returning or previously referred clients to make subsequent bookings exclusively via reservedaily.com or official ReserveDaily channels.
- Commission payments for repeat purchases shall be settled within 14 calendar days from the confirmed booking or purchase date.
- Cancellation, Refund, and Service Policies
9.1 Merchant Cancellation Policy
- Each Merchant must define and communicate their own rescheduling policy, including:
- Rescheduling notice requirements (e.g., 24 hours, 48 hours in advance).
- Available rescheduling options and time slots.
- Conditions under which rescheduling may be denied.
- The rescheduling policy must be clearly displayed on the Merchant’s service listing.
9.2 Client Rescheduling Requests
- Clients may request to reschedule bookings through their ReserveDaily dashboard, subject to the Merchant’s rescheduling policy and availability.
- Merchants are encouraged to accommodate reasonable rescheduling requests to maintain positive client relationships.
9.3 Client-Initiated Cancellations
- Once a client makes payment for a booking, the Transaction is non-cancellable and non-refundable. However, clients may request to reschedule based on the Merchant’s availability and policy.
- If the Merchant requires a deposit or booking fee to secure an appointment slot, such deposits are non-refundable, regardless of whether the client proceeds with the full service or reschedules.
9.4 Merchant-Initiated Cancellations
- If the Merchant needs to cancel a confirmed booking, they must:
- Notify the client and ReserveDaily as soon as possible.
- Provide a valid reason for cancellation.
- Offer to reschedule or issue a full refund.
- ReserveDaily will process refunds within 5–10 working days, and the commission paid to ReserveDaily will be deducted from the Merchant’s next payout or invoiced separately.
- Excessive or unreasonable cancellations may result in penalties, suspension, or termination of the Merchant’s account.
9.5 Product Refunds
- For product sales, refunds follow the Merchant’s product return policy, which must comply with Malaysian consumer protection laws and be clearly displayed on product listings.
- If a refund is issued, the commission paid to ReserveDaily will be deducted from the Merchant’s next payout or invoiced separately.
- Product Listing and Fulfillment (If Applicable)
10.1 Product Listing Requirements
If the Merchant lists products on ReserveDaily, they must provide:
- Accurate product descriptions, specifications, and ingredients.
- Complete allergen information and contraindications.
- Clear, authentic, high-quality product images.
- Pricing, including any applicable taxes or fees.
- Storage and handling requirements.
- Expiration dates, shelf life information, and batch numbers for traceability.
- Dosage instructions and recommended usage.
- Regulatory compliance documentation (e.g., NPRA, KKM, MOH certifications).
- Certificates of Analysis, available upon request.
10.2 Product Inventory Management
The Merchant is responsible for:
- Maintaining accurate stock levels on the Platform.
- Updating product availability in real-time.
- Notifying ReserveDaily immediately of out-of-stock items.
- Managing expiration dates and removing expired products from listings.
10.3 Product Shipping and Fulfillment
- Merchant-Fulfilled Products:
- The Merchant must ship orders within 2–5 business days of receiving payment.
- Use reliable courier services with tracking capabilities.
- Provide tracking information to customers via the Platform.
- Ensure proper packaging to prevent damage during transit.
- Comply with special storage requirements (e.g., temperature-controlled shipping when required).
- Include product information leaflets and usage instructions.
- Platform-Fulfilled Products:
- If ReserveDaily handles shipping on the Merchant’s behalf, the Merchant must deliver products to ReserveDaily’s fulfillment center according to agreed timelines.
10.4 Product Returns and Refunds
The Merchant must establish a clear product return policy, including:
- Return eligibility criteria (e.g., unopened, unused, original packaging with intact seals).
- Return window (typically 14 days).
- Non-returnable items (e.g., opened medical/wellness products, refrigerated items for safety reasons).
- Procedures for defective or damaged products. The return policy must comply with Malaysian consumer protection laws and be clearly displayed on product listings.
10.5 Product Liability and Warranties
The Merchant is solely responsible for:
- Product quality, safety, and efficacy.
- Compliance with all regulatory requirements.
- Product warranties and guarantees.
- Adverse reactions, side effects, or complications from product use.
- Allergic reactions to ingredients.
- Product recalls or safety alerts.
- Proper labeling and ingredient disclosure. ReserveDaily is not liable for any claims arising from the Merchant’s products.
- Service Disputes and Resolution
11.1 Client Complaints
- If a client is unsatisfied with the Merchant’s service or product, they may file a Service Dispute Request within 7 days of their appointment or product delivery.
- ReserveDaily will mediate between the Merchant and the client to reach a fair resolution, which may include:
- Partial or full refund.
- Product replacement or exchange.
- Complimentary follow-up service.
- Other mutually agreed resolution.
11.2 Merchant Obligations in Disputes
The Merchant agrees to:
- Respond promptly to dispute inquiries from ReserveDaily.
- Provide documentation or evidence to support their position.
- Cooperate in good faith to resolve disputes fairly.
11.3 Dispute Outcomes
- ReserveDaily’s dispute resolution decisions are final and binding.
- Failure to comply with dispute resolutions may result in account suspension or termination.
- Marketing and Promotional Support
12.1 Platform Marketing
ReserveDaily may feature the Merchant’s services and products in:
- Homepage and category listings.
- Email newsletters and promotional campaigns.
- Social media channels (e.g., Facebook, Instagram, LinkedIn).
- Blog articles and wellness content.
12.2 Optional Marketing Subscription
- Merchants may opt for premium marketing features, including featured listing placement, sponsored promotions, and enhanced analytics and insights.
- Details and pricing will be shared upon merchant onboarding.
12.3 Use of Merchant’s Brand and Content
- By joining ReserveDaily, the Merchant grants ReserveDaily a non-exclusive, royalty-free license to use their business name, logo, images, product photos, and service descriptions for marketing and promotional purposes on the Platform and related channels.
- Data Protection and Confidentiality
13.1 Client Data Handling
- The Merchant will have access to client personal data (e.g., name, contact information, booking details, medical information, shipping addresses) solely for the purpose of providing services and fulfilling product orders.
- The Merchant agrees to:
- Protect client data in accordance with the Personal Data Protection Act (PDPA) of Malaysia and HIPAA-like standards.
- Use client data only for service delivery and communication.
- Not share, sell, or disclose client data to third parties without consent.
- Implement appropriate security measures to protect client data, including encryption and access controls.
13.2 Medical and Health Data
- If the Merchant receives medical or health data from clients (e.g., Vital AI reports, blood test results, medical history), they must:
- Handle such data with the highest level of confidentiality.
- Store data securely and in compliance with healthcare data protection regulations.
- Delete or anonymize data when no longer needed for service delivery.
13.3 Merchant Account Security
- The Merchant is responsible for maintaining adequate security and control of any identifications, passwords, personal identification numbers (PINs), or other codes used to access the Services.
- If the Merchant suspects unauthorized access to their Merchant Account, they must notify ReserveDaily immediately at book@reservedaily.com.
- Intellectual Property
14.1 ReserveDaily’s Intellectual Property
- ReserveDaily and/or its licensors reserve and retain all right, title, and interest in all copyrights, trademarks, and other intellectual property rights related to the Platform, Services, and proprietary tools (including Vital AI), except as expressly granted to the Merchant in this Agreement.
- “ReserveDaily” and all related URLs, logos, trademarks, and intellectual property are either trademarks or registered trademarks of ReserveDaily or its licensors. The Merchant shall not copy, imitate, or use them without ReserveDaily’s prior written consent.
- The Merchant shall not copy, modify, or amend any of the Services or intellectual property related to the Services. All right, title, and interest in the Services, related technology, and any content created or derived therefrom is the exclusive property of ReserveDaily and/or its licensors.
14.2 Merchant’s Intellectual Property
- The Merchant retains ownership of their business name, logo, and service/product content. However, the Merchant grants ReserveDaily a worldwide, non-exclusive, royalty-free, non-transferable license to copy, use, and display any logo, trademark, trade name, or other intellectual property owned by or licensed to the Merchant for the purpose of:
- Identifying the Merchant as a merchant that accepts the Services as a payment form.
- Marketing and promotional purposes on the Platform and related channels.
- Any other use to which the Merchant specifically consents.
- The Merchant warrants and represents that it owns or has the right to use and sublicense any intellectual property it uses or licenses to ReserveDaily.
- With regard to intellectual property owned or licensed by Card or Payment Schemes, the Merchant shall follow instructions given by the relevant Card or Payment Scheme and shall not use such intellectual property in a way that is or may be detrimental to the business or brand of the Card or Payment Scheme.
- Disclaimer of Warranties
- The Services and Platform are provided “as-is” and “as available” without any representation or warranty, whether express, implied, or statutory. ReserveDaily, its subsidiaries, affiliates, officers, directors, agents, joint ventures, employees, and suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.
- ReserveDaily does not warrant that:
- The Platform will be uninterrupted, secure, or error-free.
- Any defects or errors will be corrected.
- The Platform will meet the Merchant’s specific requirements.
- Client bookings or sales will reach any particular volume.
- ReserveDaily does not have control over the goods and/or services paid for with the Services and does not guarantee continuous, uninterrupted, or secure access to any part of the Services. Operation of the Services may be temporarily suspended for maintenance, upgrades, or due to factors outside ReserveDaily’s control (e.g., internet or telecommunications failures, power outages, or equipment failures).
- ReserveDaily makes no warranty regarding the solvency of the Merchant or as a result of the insolvency or cessation of trading of any authorized institution holding funds. ReserveDaily will make reasonable efforts to process Services in a timely manner but makes no representations or warranties regarding the amount of time needed to complete processing.
- ReserveDaily shall not be liable for:
- Hardware, software, mobile device, or internet connection failures.
- Suspension or refusal to accept payments reasonably believed to be fraudulent or unauthorized.
- Incorrect or improperly formatted payment instructions.
- Unforeseen circumstances preventing proper performance, such as acts of God, natural disasters, epidemics, war, terrorism, civil unrest, government actions, or labor trouble.
- Merchant Representations and Warranties
The Merchant represents and warrants that:
- They have the legal right and authority to enter into this Agreement.
- All information provided to ReserveDaily is accurate, current, and complete.
- They hold all necessary licenses, permits, and insurance to provide their services and products.
- Their services and products comply with all applicable laws and regulations, including those from MOH, NPRA, and KKM.
- They will not engage in any fraudulent, deceptive, or misleading practices.
- They will maintain professional standards and ethical conduct at all times.
- The entry, delivery, and performance of this Agreement will not violate or conflict with any law, rule, regulation, code, ordinance, judgment, order, writ, injunction, decree, or other requirement of any court/tribunal or governmental body applicable to the Merchant or the sale of Merchant Products/Services.
- Non-Solicitation
- In the event of termination of this Agreement, the Merchant and its affiliates agree not to directly or indirectly contact, solicit, or engage with any clients referred by ReserveDaily for a period of twelve (12) months following termination.
- This clause applies to all clients listed and submitted by ReserveDaily, whether through bookings, inquiries, or other interactions facilitated by the Platform.
- Limitation of Liability
- To the maximum extent permitted by law, ReserveDaily’s total liability to the Merchant for any claims arising out of or related to this Agreement shall not exceed the total fees paid by ReserveDaily to the Merchant in the twelve (12) months preceding the claim.
- ReserveDaily shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Claims, injuries, damages, or losses arising from services or products provided by the Merchant.
- Disputes between the Merchant and clients.
- Errors or inaccuracies in the Merchant’s service or product listings.
- Product quality, safety, or efficacy issues.
- Adverse reactions, allergies, or side effects from products.
- Shipping delays or product damage during transit.
- Technical issues, downtime, or interruptions to the Platform.
- Indemnification
- The Merchant agrees to indemnify, defend, and hold harmless ReserveDaily, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or related to:
- The Merchant’s breach of this Agreement.
- The Merchant’s violation of any law or regulation.
- The Merchant’s services or products provided to clients.
- Any negligence, misconduct, or wrongful acts by the Merchant or their employees.
- Any claims by clients regarding the Merchant’s services or products.
- The Merchant’s infringement of any intellectual property or other rights of third parties.
- The Merchant’s violation of data protection or privacy laws.
- Other Programs
- ReserveDaily may offer additional programs, features, or services to Merchants, including but not limited to:
- Loyalty and rewards programs.
- Referral and affiliate programs.
- Training and certification programs.
- Exclusive partnership opportunities.
- Participation in such programs may be subject to additional terms and conditions, which will be communicated separately. Continued participation constitutes acceptance of those terms.
- The Merchant may notify ReserveDaily if they do not wish to participate in such programs.
- Force Majeure
- Neither party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions, internet or telecommunications failures, power outages, or equipment failures.
- The affected party shall notify the other party promptly in writing of the commencement and, if applicable, the end of such circumstances and make reasonable efforts to resume performance as soon as practicable. Obligations and delivery dates shall be extended only to the extent affected by such circumstances.
- Relationship of Parties
- The parties are independent contracting parties. This Agreement does not create any partnership, joint venture, employment, or agency relationship between the Merchant and ReserveDaily.
- The Merchant shall have no authority to bind or represent ReserveDaily in any manner.
- Assignment
- The Merchant may not assign or transfer this Agreement or any of their rights or obligations hereunder without the prior written consent of ReserveDaily.
- ReserveDaily may assign or transfer this Agreement to any affiliate or in connection with a merger, acquisition, or sale of assets without the Merchant’s consent.
- The Merchant may not allow, permit, or let another person or merchant use the Services without ReserveDaily’s prior written consent.
- Termination
24.1 Termination by Merchant
- The Merchant may terminate this Agreement by providing 30 days’ written notice to ReserveDaily.
- The Merchant remains responsible for fulfilling all confirmed bookings, pending product orders, and outstanding obligations before termination.
24.2 Termination by ReserveDaily
ReserveDaily reserves the right to suspend or terminate the Merchant’s account immediately if the Merchant:
- Violates this Agreement or applicable laws.
- Provides false or misleading information.
- Engages in fraudulent, unethical, or unprofessional conduct.
- Receives excessive client complaints or negative reviews.
- Fails to maintain required licenses or insurance.
- Sells unsafe, non-compliant, expired, or counterfeit products.
- Fails to disclose allergens or ingredients properly.
24.3 Effect of Termination
Upon termination:
- The Merchant’s listing will be removed from the Platform.
- The Merchant will receive any outstanding payouts (minus applicable fees).
- The Merchant must cease using ReserveDaily branding and materials.
- Provisions related to confidentiality, indemnification, liability, and non-solicitation shall survive termination.
- Governing Law and Arbitration
- This Agreement is governed by and construed under the laws of Malaysia.
- Any disputes arising from this Agreement shall first be attempted to be resolved through good-faith negotiations between the parties.
- If negotiation fails within 30 days, disputes shall be resolved through binding arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia, in accordance with the AIAC Arbitration Rules. The arbitration shall involve one (1) arbitrator, and the language of the arbitration shall be English. Both parties agree that Part III of the Arbitration Act 2005 shall not apply. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
- Entire Agreement
- This Agreement, together with the Merchant Registration Form, ReserveDaily’s Terms of Use, Privacy Policy, and any separate agreements referenced herein, constitutes the entire understanding between the Merchant and ReserveDaily and supersedes all prior agreements or understandings, whether oral or written.
- Severability
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver
- No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such provision or any other provision.
